Goods - Services - Works Tenders

Not every public procurement contract is performed in the same way. In goods procurement, the product delivered is the main focus; in services, the focus is on work performed continuously; and in works, the project, site and construction arrangements come to the fore. It is therefore not sufficient for the company signing the contract to monitor the work using only a general checklist.

Kılıç Kurumsal Danışmanlık A.Ş. (Kılıç Kurumsal) addresses the contract processes of contractor companies within the scope of goods, services and works together with matters relating to time periods, documents, delivery, control, inspection, acceptance, payment and risk. The aim is to maintain orderly records from the beginning to the end of the work, identify errors at an early stage and contribute to sound decision-making by company management.

A. What Do Process Monitoring and Control Mean in Goods, Services and Works?

1. Monitoring the Process from Beginning to End

Process monitoring and control means regularly monitoring the stage reached by the work after the contract has been signed, which document has been prepared, which deadline is approaching and which delivery is due. This work also means assessing the contract, specifications, work programme, correspondence, records, progress payments and acceptance documents together.

In goods, services and works, a minor omission may subsequently become an issue involving payment, penalties, acceptance or the release of security. It is therefore not sufficient for a company to focus solely on the site or solely on its accounts while carrying out the work. Technical, administrative and financial records must be brought together in the same file.

2. Providing Financial Security for the Contractor

For the contractor company, process monitoring means preventing loss of rights as well as completing the work on time. A delay in delivery, failure to issue a notification, incomplete preparation of a record or failure to review the acceptance criteria in advance may affect the company's receivables and commercial reputation.

Although a contract may appear profitable on paper, delay penalties, incomplete work, new costs, personnel expenses, transport, analysis, warranty or maintenance obligations may arise during performance. Monitoring these cost items from beginning to end allows the company to make more measured decisions.

3. What Measures Should Be Taken Before a Dispute Arises?

When a dispute begins, the first question is often: “When was this action taken, and is there a record of it?” The ideal approach is therefore to maintain records from the beginning to the end of the work, have those records signed and issue the necessary notifications. When correspondence, records, measurements, delivery documents, acceptance records, payment documents and time-related requests are maintained regularly, the company can respond to claims more effectively. It does not suffer any loss of rights.

B. Our Areas of Expertise in Process Monitoring and Control for Goods, Services and Works

1. Goods Procurement Process Monitoring and Control

The primary consideration in goods procurement is the delivery of the product or material defined in the contract in the required quantity and quality and at the required time. The name of the product or material, technical characteristics, brand or equivalence requirement, catalogue, sample, warranty, servicing, spare parts, origin and quality documents are assessed together.

The place of delivery, transport, packaging, risk of damage, late delivery, partial delivery and inspection period are also monitored. Even if the product or material has been delivered, the payment process may not be completed until acceptance has taken place. The delivery record, inspection and acceptance document, invoice, warranty document and any test/analysis results should therefore be filed in the same sequence.

Contracts concluded with suppliers for goods procurement must also comply with the principal public contract. The supplier's delivery date should be scheduled before the contractor's delivery date to the contracting authority. This gives the contractor company time to take corrective action if the product is delayed.

2. Services Process Monitoring and Control

In services, the work often continues over a specified period. For cleaning, security, maintenance, catering, transport, consultancy, information technology or similar services, arrangements concerning personnel, vehicles, equipment, reporting and daily records are important.

Personnel numbers, working hours, leave, reports, shifts, overtime, vehicle mileage, maintenance records, monthly activity reports and service acceptance documents should be monitored regularly. Obligations under the Labour Law and social security obligations cannot be considered separately from contract performance.

Service acceptance procedures are not completed merely by stating that the service has been performed. The records of the supervision team, monthly reports, timesheets, invoices, deductions and any penalty procedures should be reviewed together. If this system is not established, the contractor may have difficulty proving that it performed the service or explaining its payment request.

3. Works Process Monitoring and Control

Process monitoring in works requires a more extensive documentation system. This is because the project, list of locations, quantity take-off, work programme, site handover, daily records, site measurement sheets, construction measurements, progress payments, price adjustments, increases in work, time extensions, provisional acceptance and final acceptance are monitored together. Likewise, the compliance of construction carried out on site with the project and specifications must be checked regularly. If matters such as a project amendment, new unit price, increase in construction quantity, reason for delay or weather conditions are not documented in a timely manner, they become more difficult to explain subsequently.

In works, the progress payment and acceptance processes are interconnected. Incomplete construction, defective work, provisional acceptance deficiencies, final accounts and the release of security should be monitored in the same file. The company's site team and central management should be able to access the same data.

C. Why Should Process Monitoring and Control Be Undertaken by Specialists?

1. The Rules Differ for Each Type of Procurement

Although goods, services and works fall within the same legislative system, their implementation documents, control methods and acceptance procedures differ. A delivery document in goods procurement does not have the same meaning as a site measurement sheet in works. Nor does a monthly activity record for services replace a quantity take-off for works.

2. Deadlines and Notifications May Lead to Loss of Rights

Timing is important in matters such as the delivery period, time extensions, delay notifications, objections to progress payments, inspection results, acceptance deficiencies and the release of security. If a deadline is missed, even a well-prepared explanation may not have the expected effect.

3. Technical, Financial, Administrative and Legal Knowledge Is Required Together

Process control is not solely the responsibility of the technical team. It also requires knowledge of contract interpretation, progress payment calculations, personnel arrangements, supply schedules, correspondence procedures and payment plans. As the file grows, an experienced working system capable of reviewing these areas together becomes more important.

4. Incomplete Records May Not Be Capable of Subsequent Rectification

A file prepared after the work has been completed does not always reflect the actual process. The most reliable record is a document prepared at the time the event occurs. Delivery documents, controls, records, photographs, measurements, reports and correspondence should therefore form part of daily operations.

5. Consultancy and Legal Representation Must Be Kept Separate

Kılıç Kurumsal operates in the fields of commercial consultancy, corporate review and process monitoring. Litigation, powers of attorney and legal representation are handled within a separate professional structure.

D. How Do We Assist Contractor Companies?

1. We Prepare a Process Monitoring Plan Based on the Contract and Type of Work

First, the nature of the work and the stage reached under the contract are determined. The contract, administrative specifications, technical specifications, general specifications, standard contract provisions, work programme and existing correspondence are reviewed together.

A monitoring plan may be prepared for stages such as commencement of work, delivery, interim control, reporting, progress payments, inspection, acceptance, payment, warranty and release of security. The actions that take priority and the document to be prepared at each stage are clearly set out.

2. We Check the Consistency of Documents and Records

Delivery documents, records, progress payments, price adjustment schedules, service reports, measurement records, acceptance documents and correspondence are compared. Consistency is sought between the obligations under the contract and the documents in the file.

3. We Bring Risks to Management's Attention

Risks relating to delays, incomplete deliveries, defective products, service interruptions, project amendments, new costs, penalty-related procedures, acceptance deficiencies, security and payments may be listed separately. This enables the company to identify at an earlier stage which matters may have commercial consequences.

4. We Prepare Specific Documents That Can Be Submitted

Depending on the scope of the work, a goods delivery monitoring schedule, monthly services checklist, works site and construction monitoring schedule, missing documents list, deadlines and acceptance schedule, risk assessment note, management briefing note and close-out preparation list may be prepared.

5. We Provide Appropriate Guidance on Information Sources

Those seeking a brief explanation may be directed to video content, those seeking detailed publications to Kılıç Akademi publications, and those seeking legal information and reviews of decisions to the Kılıç Hukuk information section. Kılıç Kurumsal does not duplicate these resources; it indicates the appropriate route based on the company's needs.

E. How Can You Obtain Assistance from Us?

1. Specify the Type and Stage of the Work

The application should briefly state whether the work involves goods, services or works; whether the contract has been signed; the current stage of the work; and whether there is an issue concerning delivery, progress payments, acceptance or payment.

2. Prepare the Initial Documents

The contract, specifications, work programme, delivery records, service reports, quantity take-offs or measurement documents, progress payments, price adjustment schedules, inspection and acceptance documents, payment records and correspondence may be shared once the scope has been determined.

3. Let Us Determine the Scope Through a Preliminary Assessment

Following the initial review, it is determined whether the work will involve document control only, a process monitoring plan, a delivery and acceptance review, a financial risk assessment or a broader contract performance review. The documents to be delivered and the duration of the work are set out in writing.

4. Appropriate Timing Prevents Loss of Rights

Process monitoring is more useful when established while the work is under way rather than after a problem arises. Checks conducted before delivery is delayed, acceptance takes place, a progress payment is signed or the release of security is awaited prevent the company from suffering a loss of rights.
