Kılıç Kurumsal Danışmanlık A.Ş. (Kılıç Kurumsal) supports institutions and companies that submit bids, sign contracts or prepare for special procurement processes in relation to specifications, bids, contracts and process monitoring.
This page explains what requires attention at each stage of defence and security procurements, why special procurement methods require separate preparation and how Kılıç Kurumsal can assist with this process.
A. What Does Expertise in Defence, Security and Special Procurement Management Mean?
1. Characteristics of Defence and Security Procurements
Defence and security procurements may arise from requirements relating to public order, national security, institutional security, critical infrastructure, communications, technology, maintenance, ammunition, vehicles, equipment, software or services. In these areas, the contracting authority’s requirements often demand specialist technical knowledge and strict record-keeping.
The exemption provisions of Law No. 4734 allow different procedures and principles to be applied to certain defence and security procurements. However, falling within the scope of an exemption does not mean that the process may be conducted without rules. On the contrary, the regulations on which each contracting authority relies and the tender dossier must be read carefully.
2. What Does Special Procurement Management Mean?
Special procurement management is the end-to-end monitoring of procurements conducted under laws, regulations, procedures and principles specific to the contracting authority, direct procurement arrangements or exemption provisions. This management addresses the invitation to bid, technical specifications, qualification documents, confidentiality requirements, pricing, the contract, delivery and acceptance procedures together.
In special procurements, the same term may have different consequences at different contracting authorities. Concepts such as “invitation”, “qualification”, “security clearance”, “technical compliance”, “sample”, “test”, “final bid” or “direct procurement” must be assessed according to the tender dossier. (See: Kılıç Tender Glossary - Direct procurement)
3. What Does It Mean for a Company?
For a company participating in these procurements, the fundamental question is not merely “can we submit a bid?”. The main question is whether it can determine in advance if it is capable of performing the work technically, financially, administratively and legally. Security documents, production permits, quality systems, subcontractors, suppliers, maintenance, spare parts, place of delivery and confidentiality provisions must be reviewed before bidding.
A minor error in a special procurement dossier may result in the bid being excluded from evaluation, the security being put at risk, the contract not being concluded or subsequent debarment. (See: Kılıç Tender Glossary - Debarment from tenders)
B. Our Areas of Expertise in Defence, Security and Special Procurement Management
1. Defence and Security Tender Management
The first step in defence and security tenders is to determine the legislation and special procedure on which the tender dossier is based. The exemption provisions of Law No. 4734, Article 3/b and similar special regulations, procedures and principles specific to the contracting authority, the invitation to tender and contractual terms are read together.
The technical specifications are not viewed solely as a description of the product or service. The product’s security level, intended operating environment, quality certificates, testing and acceptance method, maintenance and spare parts arrangements, information security, confidentiality and delivery terms are reviewed separately. (See: Kılıç Tender Glossary - Technical specifications)
The bidding company’s work experience, production or supply capacity, security clearances, quality certificates, and subcontractor and supplier arrangements are checked. The risks of forged documents, false declarations or unauthorised actions are also assessed. (See: Kılıç Tender Glossary - Forged document)
At the contract stage, the delivery schedule, interim inspections, factory acceptance testing, site acceptance, warranty, maintenance, training, spare parts, data delivery and confidentiality obligations are monitored. Keeping fragmented records in these areas may subsequently cause issues concerning progress payments, penalties, termination or security.
2. Expertise in the Management of Special and Direct Procurements
Special procurements are not limited to defence tenders. Certain procurements falling under the exemptions in Law No. 4734, procurements by contracting authorities under Article 3/g, direct procurements and institution-specific purchasing processes also require separate preparation. Each method may have different requirements for documents, invitations, bids, approvals, contracts and record-keeping.
Direct procurement is a procurement method rather than a tender procedure. Nevertheless, price research, approval documents, technical requirements, the need for a contract, and delivery and payment documents must not be neglected. Particularly for procurements involving a sole source, compatibility and standardisation, or monetary thresholds, the justification and record-keeping arrangements must be established more carefully. (See: Kılıç Tender Glossary - Sole-source procurement)
For procurements conducted electronically, EKAP records, user authorisations, electronic notifications and document upload fields must be checked in advance. The electronic implementation framework after 1 August 2025 also requires careful monitoring in exemption and direct procurement processes. (See: Kılıç Tender Glossary - Tender Participation Document)
The objective of special procurement management should be to determine from the outset which documents the company must prepare and when, how it will calculate its price, which risks it will assume and how it will perform the work if the contract is signed.
C. Why Should Defence, Security and Special Procurement Management Be Handled by Specialists?
1. Not Every Special Procurement Has the Same Basis
Although defence, security, direct procurement and exempt procurements may be grouped under the same heading, they are not all subject to the same rules. Some procurements may be based on special procedures and principles, some on direct procurement arrangements, and others on the contracting authority’s own purchasing regulations. Preparation based on the wrong grounds leads to errors in the bidding or contract process.
2. Confidentiality and Document Security Are Important
In this field, technical drawings, prices, production information, security documents, personnel information and supplier records may be particularly sensitive. It must be established from the outset with whom documents will be shared, how they will be stored and at which stage they will be used. Confidentiality obligations must be considered not only after the contract has been signed but also during bid preparation.
3. Technical Capability and Contractual Burden Must Be Read Together
Even if the company is technically capable of supplying the product or service, the contract’s provisions on maintenance, warranty, training, spare parts, testing, acceptance and confidentiality must also be reviewed. Some contracts appear straightforward at the bidding stage but impose substantial costs and time commitments during performance.
4. Security, Debarment and Penalty Risks May Have Serious Consequences
In special procurements, deadlines concerning security, the invitation to sign the contract, delivery, acceptance and submission of documents must be monitored carefully. Failure to act within the prescribed time may result in serious consequences such as the security being recorded as revenue, termination of the contract or debarment from public tenders. (See: Kılıç Tender Glossary - Recording the performance security as revenue)
5. Consultancy and Legal Representation Must Be Kept Separate
Kılıç Kurumsal works in the fields of commercial consultancy, institutional review, and document and process monitoring. Litigation, representation under a power of attorney, criminal defence and legal representation are handled within a separate professional structure.
D. How Do We Assist?
1. Determination of the Procurement Type and Its Basis
First, it is assessed whether the procurement falls within the scope of defence, security, a special procedure, direct procurement or another exemption. The notice, invitation letter, technical specifications, administrative requirements, draft contract, and security and qualification documents are assessed together.
2. Bid and Document Preparation Planning
The documents to be prepared by the company, the persons responsible and the deadlines are identified. A separate checklist may be prepared for authorisation documents, quality and security records, supplier documents, technical explanations, and sample or test preparation.
3. Identification of Technical, Financial and Contractual Risks
The commercial implications of matters such as delivery time, pricing, maintenance obligations, warranty, spare parts, subcontractors, confidentiality, export permits, testing and acceptance are identified. This allows the company to make its decision based not only on the bid price but also on the overall burden of the work.
4. Contract and Performance Process Monitoring
After the contract is signed, a monitoring framework may be established for commencement, delivery, interim inspection, testing, acceptance, progress payments, payment, warranty and close-out stages. If there is a risk of delay, missing documents or acceptance issues, this situation is brought to management’s attention.
5. Preparation of Specific Documents That Can Be Presented
Depending on the scope of the engagement, a special procurement preliminary review briefing note, defence tender document checklist, technical requirements and delivery risk note, direct procurement records list, supplier and subcontractor control schedule, confidentiality and document-sharing note, contract performance monitoring plan and management briefing note may be prepared.

E. How Can You Obtain Assistance from Us?
1. Specify the Type and Stage of the Procurement
The initial request should briefly state whether the procurement falls within the scope of defence, security, a special procedure, direct procurement or an exemption; whether a bid has been submitted; whether the contract has been signed; and the current stage of the process.
2. Prepare the Priority Information
The invitation letter, tender dossier, technical specifications, draft contract, security and quality documents, supplier information, pricing details, correspondence and any notifications may be shared once the scope has been determined. A separate sharing method must be established for confidential documents.
3. Determination of Scope Through a Preliminary Assessment
Following the initial review, it is determined whether the engagement will cover document review only, bid preparation, a special procurement risk review, direct procurement file organisation, contract performance monitoring or broader process support.
4. Timely Engagement Provides a More Secure Outcome
In defence, security and special procurement processes, the most effective review is conducted before a bid is submitted or a contract is signed. Options may become limited once the deadline has passed, the security has been put at risk or the delivery schedule has been disrupted.
